Acceptance & Binding Agreement

By accessing this website, applying for services, or engaging with InboundOS in any capacity, you agree to be bound by these Terms of Service, our Privacy Policy, and any other posted guidelines. If you do not agree, do not use this site or apply for services.

InboundOS reserves the right to modify these terms at any time. Changes become effective when posted. Your continued use constitutes acceptance of revised terms.

Service Description

InboundOS provides a 90-day done-with-you AI system installation service designed for solo DFY (done-for-you) agency owners. The service includes custom development and deployment of AI agents (including Apollo, Hermes, Clio, and Argus), n8n automation workflows, Supabase database architecture, and dashboard access.

Deliverables are custom-built per client and non-refundable once work begins. After the 90-day engagement, optional monthly retainer services may be offered separately in writing.

InboundOS is a consulting and installation service, not a business opportunity, affiliate program, or resale platform.

Application & Eligibility

InboundOS does not serve all applicants. Participation requires:

  • Submission of a completed application
  • Acceptance by InboundOS in writing (email or contract)
  • Active operation of a service-based or content-based agency
  • Commitment to attend scheduled calls, provide brand materials, and film content
  • Age 18 or older

InboundOS reserves the right to decline any application without stating reason. No partial services, trial periods, or money-back guarantees apply to declined applicants.

Payment Terms

One-Time Investment: The 90-day service is a one-time fixed fee ($1,500–$9,000 depending on scope) due in full before work begins. Payment must be received and cleared before any development, design, or strategy work starts.

Payment Methods: InboundOS accepts payment via Stripe, bank transfer, or PayPal. By paying, you authorize the charge.

No Payment Plans: Payment plans, installments, or partial deposits are not available unless expressly agreed to in writing by both parties.

Invoice & Taxes: You are responsible for any taxes, fees, or duties on your purchase. InboundOS will provide invoicing documentation.

Refund Policy

No Refunds After Work Begins: Once development, design, strategy, or any billable work commences, the service fee becomes non-refundable. Work is custom-built to your specifications and cannot be resold or repurposed.

Pre-Work Refunds: If no work has begun (defined as no meeting held, no system design drafted, no code written), a full refund will be issued within 48 hours of written request.

Completion Refunds: Upon successful delivery and sign-off of all 90-day deliverables, no additional refunds apply. The engagement is complete.

Partial Work: If the client initiates termination mid-engagement, the client retains ownership of all work completed to date. No refund will be issued for incomplete work or remaining service days.

Ownership of Deliverables

Client Ownership: Upon final payment and delivery, the client owns all custom work product, including AI agent code, n8n workflows, prompts, Supabase schemas, dashboards, and any other deliverables created specifically for the client.

Right to Use & Modify: The client may use, modify, copy, and adapt all deliverables for their business without further permission from InboundOS.

Permitted Transfer: The client may transfer ownership of deliverables to third parties or team members as part of business operations (e.g., hiring staff, selling the business), provided InboundOS is not required to provide ongoing technical support.

Ownership transfer does not include the right to rebrand InboundOS work as InboundOS does not transfer its name, branding, or methodology framework.

Intellectual Property Rights

InboundOS Retains Framework Rights: InboundOS retains all intellectual property rights in its proprietary methodologies, training frameworks, process documentation, and strategic models. These are licensed to the client for internal business use only—not for resale, white-label, or redistribution.

No Rebranding or Resale: The client may not resell the InboundOS methodology, rebrand it, or position it as their own service offering without a separate commercial license agreement with InboundOS.

Third-Party Materials: Some deliverables may incorporate third-party libraries, templates, or tools. Those materials remain subject to their original licenses. The client may use them as included with the deliverables but cannot redistribute them separately.

Client Content: All brand materials, messaging, content, and assets provided by the client remain the property of the client. InboundOS may reference completed work in case studies, testimonials, or portfolios with explicit client permission.

Client Responsibilities

The success of the 90-day service depends on active client participation. The client agrees to:

  • Attend all scheduled calls (minimum 1x/week) and come prepared
  • Respond to requests for brand materials, messaging, and feedback within 48 hours
  • Film and document content as instructed (testimonials, case studies, reels)
  • Provide accurate business information and access to necessary accounts (email, social media, dashboards)
  • Test systems and report issues promptly
  • Comply with all platform terms of service (Meta, TikTok, Google, etc.)
  • Maintain reasonable data security practices on client-owned accounts

Failure to meet these responsibilities may result in project delays or termination. InboundOS is not liable for delays caused by client non-participation.

Confidentiality

Mutual Confidentiality: Both parties agree to keep the details of this engagement, pricing, strategy, results, and communications confidential.

Client's Obligations: The client agrees not to publicly disclose the terms of the agreement, pricing, or proprietary strategies without written consent from InboundOS.

InboundOS's Obligations: InboundOS agrees not to disclose the client's business data, metrics, or proprietary information without written consent, except as required by law.

Case Study Exception: InboundOS may reference the client's work (with anonymization or with explicit permission) for case studies, testimonials, or marketing materials.

Legal Exceptions: Either party may disclose information if required by law, court order, or regulatory authority.

Results Disclaimer

Not a Business Opportunity: InboundOS does not guarantee income, leads, sales, or business growth. This is a service contract for system installation, not a business opportunity, franchise, or affiliate program.

Outcomes Depend on Execution: Results vary by client. Success depends on the client's offer, target market, sales ability, follow-up discipline, content quality, and ongoing effort. Any case studies or client examples shown are illustrative and not typical or guaranteed.

No Income Claims: InboundOS makes no representations about past earnings, future earnings, or income potential. The client's actual results will depend on many factors outside InboundOS's control.

Tools Are Not Magic: The AI agents and workflows delivered are tools designed to streamline the client's operations. They do not replace the client's sales efforts, marketing, or relationship-building with prospects.

Limitation of Liability

Maximum Liability: InboundOS's total liability for any claim—whether in contract, tort, or otherwise—shall not exceed the amount the client paid for the service ($1,500–$9,000).

No Consequential Damages: InboundOS is not liable for lost profits, lost revenue, lost data, business interruption, reputational harm, or any indirect, incidental, special, or consequential damages, even if advised of the possibility.

Prohibited Uses

The client agrees not to:

  • Resell or white-label the InboundOS methodology, frameworks, or training materials
  • Rebrand the service or present it as their own proprietary system
  • Share the delivered systems, prompts, or workflows with competitors or outside parties for commercial gain
  • Use deliverables to build a competing service without a separate license
  • Violate the terms of service of any third-party platform (Meta, Google, TikTok, Stripe, etc.)
  • Use the service for illegal, fraudulent, or unethical purposes
  • Attempt to reverse-engineer or extract proprietary InboundOS methodologies from deliverables

Violation may result in termination of support, legal action, and forfeiture of access to systems.

Termination

Either Party May Terminate: The client or InboundOS may terminate the 90-day engagement with 7 days written notice to the other party.

Upon Termination: The client retains ownership of all work completed to date. The client assumes responsibility for maintaining, updating, and hosting all systems going forward. InboundOS will not provide further support or updates.

No Refund for Partial Termination: If the client terminates before day 90, they keep completed work but receive no refund for remaining days or incomplete deliverables.

InboundOS Right to Terminate: InboundOS may immediately terminate for client breach (non-payment, misuse, violation of confidentiality, or prohibited uses) without refund.

Post-Engagement Support: Optional monthly retainer support (if agreed in writing) continues on a month-to-month basis and may be terminated by either party with 30 days notice.
